OG Capital Investments, a special purpose acquisition company affiliated with the Organi Group, on Tuesday 3 November 2026 began a private placement to raise its issued capital from 10 million pounds to 100 million pounds (1.85 million dollars), through issuing 90 million shares at a par value of one pound per share, running until Tuesday 10 November and limited to financial institutions and qualified investors, to finance acquisitions worth up to 500 million dollars.

The information memorandum approved by the Financial Regulatory Authority revealed that Sinai businessman Ibrahim Gomaa Salem Hassan, known as Ibrahim al-Organi, owns about 90% of the company, while his son Essam al-Organi, CEO of the Organi Group, owns about 10%, and runs the company as its CEO and managing director. The identity of the company’s owners had not been disclosed since its temporary listing on the Egyptian Exchange on 19 May 2026, according to the memorandum.

The company aims to acquire assets and companies in the hotels and hospitality, car manufacturing and distribution, building materials and healthcare sectors, with the possibility of expanding into real estate and education. The memorandum sets out four routes for acquisitions: buying in cash, through credit balances, through merger, or through share swaps, warning that share swaps may significantly reduce the stakes of existing shareholders. EFG Hermes handles promotion and underwriting of the subscription, and First Abu Dhabi Bank Egypt receives the subscription funds.

The company was founded in December 2025, obtained a license from the Financial Regulatory Authority in March 2026, and its shares were temporarily listed under the code OCAP.CA. The temporary listing gives it until about 19 November to present any acquisition deal to shareholders for a vote, and the company has not yet announced any deal.
